Professional Services Terms
Effective Date: October 18, 2026
These Professional Services Terms govern services provided by Blue Sky Enterprise Solutions, LLC (“Blue Sky”) to its clients. These terms supplement any proposal, statement of work, service agreement, invoice, order form, or other written agreement Blue Sky issues. If a separate written agreement conflicts with these terms, the separate written agreement controls.
1. Engagement and Scope
Blue Sky Enterprise Solutions, LLC provides professional consulting services, including executive advisory, capture management, contract opportunity research, market intelligence, stakeholder and competitor analysis, proposal readiness, capability development, and related strategic support. Services are provided exclusively for contracting opportunities issued by United States federal, state, and local government entities. Blue Sky Enterprise Solutions does not support foreign government procurements or non-U.S. contracting markets. The specific scope of work, deliverables, pricing, project schedule, and client responsibilities will be established through an accepted service description, written proposal, statement of work, service agreement, invoice, or other written confirmation. Services are limited to the activities and deliverables expressly identified in the applicable engagement documentation. Additional services, scope changes, or expedited delivery require written approval and may result in adjusted timelines and additional fees. Blue Sky Enterprise Solutions provides strategic and professional advisory services only and does not provide legal, tax, accounting, or formal regulatory opinions.
2. Client Responsibilities and Required Materials
The client agrees to:
Provide complete, accurate, current, and timely information, documents, materials, access, decisions, feedback, and approvals necessary for the engagement, including applicable items identified under “What We Need From You” on the selected service page and confirmed in the written engagement scope.
Identify an authorized decision-maker and primary point of contact.
Ensure that all information and materials provided to Blue Sky may be legally disclosed and used for the engagement, including company names, logos, photographs, testimonials, qualifications, and past-performance information.
Promptly disclose any known conflicts of interest, confidentiality restrictions, unavailable information, incomplete materials, or other limitations that may affect the requested services.
Maintain responsibility for required business registrations, certifications, licenses, eligibility requirements, and government-contracting representations.
Review deliverables and provide consolidated feedback, decisions, and approvals within agreed timelines.
Independently verify solicitation requirements, procurement deadlines, amendments, and final proposal submissions unless otherwise established in a separate written agreement.
Promptly notify Blue Sky of revised deadlines, solicitation amendments, organizational changes, or other developments that may affect the engagement.
Blue Sky will identify required materials and agreed submission dates during scope confirmation. Blue Sky may reasonably rely on client-provided information without independently auditing or verifying every statement, document, or representation.
Anticipated start and delivery dates depend on timely receipt of required materials and client responses. Missing, inaccurate, restricted, or delayed inputs may result in paused work, adjusted delivery schedules, rescheduling based on available capacity, or additional fees when approved in writing. Research, corrections, rework, or services beyond the agreed scope require prior written approval and may affect pricing and scheduling.
3. Confidential and Restricted Information
Blue Sky Enterprise Solutions, LLC will take reasonable steps to protect confidential business information clients provide in connection with an authorized engagement. Confidential information will be used only for agreed professional services and will not be disclosed to unauthorized parties, except when disclosure is required by law. Clients are responsible for ensuring they have the legal authority to provide any documents, data, proposal materials, or other information submitted to Blue Sky. Clients must not provide another company’s proprietary information without proper authorization, restricted government information, or materials obtained in violation of a nondisclosure agreement or other legal obligation. Classified information, Controlled Unclassified Information, government source-selection information, proprietary competitor proposals, Social Security numbers, financial account numbers, passwords, and other sensitive information must not be submitted through website forms, standard email, or other unsecured communication channels. Blue Sky will not knowingly obtain, request, use, or distribute unauthorized government procurement information, competitor bid or proposal information, or other restricted materials. Research and advisory services will rely on publicly available information, lawfully obtained resources, and information properly authorized for client use. Blue Sky reserves the right to decline, suspend, or terminate any engagement involving improperly disclosed information, unauthorized materials, potential procurement-integrity concerns, or inadequate information-security protections.
4. AI-Assisted Research and Production
Blue Sky Enterprise Solutions, LLC may use professional research platforms, digital productivity tools, automated analytical systems, and artificial intelligence-assisted technologies to support research, document development, strategic analysis, visual design, and preparation of client deliverables. Artificial intelligence-assisted technologies support professional judgment and improve research and production efficiency. We professionally review all final deliverables before providing them to the client. Information generated or summarized using automated technologies may contain inaccuracies, omissions, outdated information, or incomplete analysis. Clients remain responsible for independently verifying solicitation requirements, submission deadlines, certifications, representations, and other information material to their business decisions. Blue Sky will not knowingly submit classified information, Controlled Unclassified Information, government source-selection information, unauthorized proprietary proposal materials, or sensitive personal information to third-party artificial intelligence platforms. Confidential client information will not be submitted to third-party artificial intelligence platforms unless its use is legally authorized, consistent with applicable confidentiality obligations, and subject to appropriate information-security safeguards.
5. Research, Assumptions, and Information Limitations
Blue Sky Enterprise Solutions, LLC may use publicly available government databases, procurement forecasts, solicitation notices, historical contract information, industry publications, commercial research platforms, and client-provided materials when developing research and advisory deliverables. Research findings reflect information reasonably available at the time the work is performed. Information may be incomplete, inaccurate, outdated, revised, withdrawn, or otherwise subject to change without notice. Government agencies may modify solicitation schedules, procurement strategies, funding availability, contract values, eligibility requirements, acquisition classifications, submission deadlines, and anticipated award dates at any time. Any estimates, assessments, projections, or recommendations concerning contracting opportunities, competitors, incumbents, stakeholders, or potential outcomes are professional judgments based on available information and stated assumptions; they are not guarantees of future events or results. Blue Sky may reasonably rely on information obtained from third-party sources and client-provided materials without independently auditing every document, statement, or data point. Clients remain responsible for verifying official solicitation documents, monitoring government procurement websites, confirming eligibility requirements, and validating information material to their final business decisions. Unless otherwise specified in a written agreement, Blue Sky is not obligated to update completed deliverables or monitor subsequent changes after the agreed work has been delivered.
6. Fees and Payment
Fees for professional services will be identified in the applicable service description, written proposal, statement of work, service agreement, invoice, or online checkout confirmation. Clients will be informed of the total engagement price, required deposit, payment schedule, and any applicable taxes or additional charges before accepting an engagement. Unless otherwise agreed in writing, Blue Sky Enterprise Solutions maintains a minimum project engagement of $2,500. Standalone consultations, including the $150 initial consultation, are separate services and are not subject to the minimum project engagement requirement. Project work will begin only after Blue Sky accepts the engagement, confirms the scope of work, receives the required initial payment, and obtains the information necessary to perform the requested services. Deposits and installment payments are due according to the payment schedule disclosed during checkout or established in the applicable written agreement. The client must clearly disclose and authorize any automatic or scheduled payments. We may withhold final deliverables until all outstanding balances are paid. Late, incomplete, or disputed payments may result in delayed performance, suspension of services, or termination of the engagement, subject to the applicable agreement and cancellation terms. Additional work, expedited delivery, travel, revisions beyond the agreed scope, and other supplementary services may result in additional charges if disclosed and approved by the client. Fees compensate Blue Sky for professional services performed and are not contingent upon a contract award, proposal selection, or other procurement outcome.
7. Rush Work, Travel, and Additional Support
Requests for services beyond the agreed project scope, additional advisory support, accelerated delivery, or travel are subject to Blue Sky’s availability, written approval, and applicable additional fees. Unless otherwise stated in a written agreement, additional work outside the original project scope is billed at $275 per hour. Urgent or executive-level advisory support is billed at $300 per hour. Projects requiring delivery in fewer than 10 business days may be subject to a 25% rush fee. Projects requiring delivery in fewer than five business days may be subject to a 40% rush fee. Rush fees are based on the agreed project price, and only the highest applicable rush percentage will apply unless otherwise agreed in writing. Rush timelines begin only after Blue Sky has accepted the engagement, confirmed the scope, received the required payment, and obtained all necessary client information. Accelerated delivery is not guaranteed unless expressly confirmed in writing. The client must approve client-requested travel in advance. The client is responsible for authorized transportation, lodging, mileage, parking, meals, and other reasonable travel-related expenses. We will disclose any applicable hourly or daily rate for on-site support before approving travel. We will not bill for additional work, rush fees, travel expenses, or supplementary services without prior client approval.
8. Reviews and Revisions
Unless otherwise stated in the applicable service description or written agreement, each engagement includes one consolidated review and revision round for the agreed deliverables. Clients must provide clear, consolidated feedback within five business days of receiving the draft deliverable, unless a different review period is established in writing. Feedback must come from the authorized client representative and address all requested changes within the agreed project scope. Minor corrections involving typographical errors, formatting inconsistencies, or factual mistakes introduced by Blue Sky will be addressed without an additional charge when identified during the agreed review period. Requests involving new requirements, substantial changes in direction, additional research, newly released solicitation amendments, expanded deliverables, or changes beyond the original scope may require written approval, adjusted delivery timelines, and additional fees. Additional revision rounds beyond those included in the engagement may be billed at $750 to $1,500 per additional revision round, depending on the complexity and level of effort involved. Any applicable additional charge will be disclosed and approved before the work begins. If the client does not provide requested feedback within the agreed review period, Blue Sky may pause the engagement, adjust the delivery schedule, or consider the current draft accepted for project scheduling and payment purposes. Blue Sky will release final deliverables after completion of the agreed revisions and payment of any outstanding balance.
9. Operating Hours, Scheduling, and Client Delays
Blue Sky Enterprise Solutions operates Monday through Friday, from 8:00 a.m. to 4:00 p.m. Central Time, excluding United States federal holidays. We generally review communications received outside normal operating hours on the next business day. Services requested outside normal operating hours are subject to availability, prior written approval, and applicable additional fees.
Project scheduling is managed independently based on available capacity, existing client commitments, project scope and complexity, required client information, and timely completion of client responsibilities.
Submitting an inquiry, scheduling a consultation, purchasing a service, selecting a payment plan, or making an initial payment does not guarantee immediate availability, priority scheduling, a specific start date, or completion by a client-requested deadline.
Project timelines begin only after Blue Sky accepts the engagement in writing, confirms the project scope and anticipated delivery schedule, receives the required payment, and obtains the client information and materials necessary to begin the work.
Delays in providing requested documents, approvals, decisions, feedback, payments, or access to relevant personnel may result in adjusted project timelines, rescheduled delivery dates, or temporary suspension of services. If required client information or approval remains outstanding for more than 10 business days after a written request, Blue Sky may pause the engagement and reschedule the remaining work based on available capacity.
Client-requested deadlines are not binding unless expressly accepted by Blue Sky in writing. Rush services and accelerated delivery are available only when Blue Sky expressly accepts them and may require additional fees.
Blue Sky is not responsible for missed procurement deadlines, delayed submissions, or lost business opportunities resulting from incomplete client information, delayed approvals, unpaid balances, changed requirements, procurement conditions, or other circumstances outside its reasonable control.
Previously agreed payment obligations remain in effect during client-caused delays unless the parties agree otherwise in writing. Scheduled installment payments establish payment obligations and do not guarantee project start dates, completion dates, or delivery milestones.
If Blue Sky determines that it cannot accept or reasonably support a prepaid engagement, it will notify the client and refund any unearned prepaid amount under the applicable cancellation and refund provisions.
For purposes of these Professional Services Terms, business days are Monday through Friday, excluding United States federal holidays.
10. Cancellation and Suspension
Clients may request cancellation, rescheduling, or suspension of an engagement by providing written notice to Blue Sky Enterprise Solutions. The effective date of cancellation is the date Blue Sky Enterprise Solutions receives the written request. Deposits and advance payments are refundable only to the extent that they have not been earned through completed work, work in progress, reserved production time, or approved nonrecoverable expenses. Clients remain responsible for payment for services performed and authorized expenses incurred before cancellation. If a project is canceled after work has begun, Blue Sky will assess completed work, commitments already made, and any outstanding obligations. You must pay any remaining unpaid balance for completed or authorized work before Blue Sky releases available deliverables. Consultations canceled or rescheduled at least 24 hours before the scheduled appointment may be rescheduled without an additional fee. Consultation fees may be nonrefundable when a client cancels with less than 24 hours’ notice or fails to attend the scheduled appointment. Blue Sky may suspend or terminate services due to nonpayment, insufficient client information, unauthorized disclosure of restricted materials, potential conflicts of interest, unlawful requests, or other circumstances that prevent responsible performance. If Blue Sky cancels an engagement because it cannot perform the agreed services, it will refund any unearned portion of prepaid fees. Blue Sky will return approved refunds to the original payment method when practicable and process them within a reasonable timeframe. Cancellation does not eliminate the client’s responsibility for services already performed, approved expenses, or other obligations established in the applicable written agreement.
11. Intellectual Property and Deliverable Use
Upon payment of all applicable fees, the client receives the right to use final, client-specific deliverables for internal business operations, marketing, capture management, proposal development, and authorized government contracting activities. The client may share completed deliverables with employees, authorized representatives, professional advisers, teaming partners, and government agencies when necessary to support its legitimate business or contracting activities. Blue Sky Enterprise Solutions retains ownership of its preexisting materials, proprietary frameworks, research methods, analytical tools, reusable templates, production processes, and other independently developed intellectual property. Clients may not resell, license, or distribute Blue Sky’s proprietary templates, methodologies, or reusable materials as standalone commercial products without prior written authorization. The client retains ownership of its company name, logos, trademarks, proprietary information, and other materials provided to Blue Sky for use during the engagement. Clients are responsible for ensuring they have permission to provide any third-party materials incorporated into the project. Third-party research, images, software, data, or other licensed materials remain subject to their applicable ownership rights, licensing terms, and permitted uses. Blue Sky may continue using its general knowledge, professional experience, and reusable business processes in future engagements but will not knowingly disclose or reuse confidential client-specific strategies, pricing information, proposal content, or other proprietary materials for another client. Blue Sky will not publicly use a client’s name, logo, testimonial, proprietary information, or completed deliverables for promotional purposes without the client’s prior written approval. Drafts and final deliverables may not be published, submitted, or commercially distributed before all outstanding engagement fees are paid, unless Blue Sky provides written authorization.
12. Procurement Outcomes and Award Disclaimer
Blue Sky Enterprise Solutions, LLC provides professional research, strategic analysis, capture management, proposal readiness, and related advisory services to support informed business decisions and competitive positioning. Blue Sky does not guarantee the release of a solicitation, the accuracy of procurement forecasts, qualification for a contracting opportunity, acceptance of a proposal, selection for negotiations, contract award, subcontracting participation, revenue generation, profitability, or any other specific business outcome. Government agencies and other purchasing authorities independently control solicitation requirements, evaluation criteria, procurement timelines, funding decisions, and contract awards. These decisions are outside Blue Sky Enterprise Solutions' control. Clients remain responsible for evaluating opportunities, maintaining required registrations and certifications, verifying solicitation requirements, meeting submission deadlines, and making final proposal and business decisions. Fees for authorized services are based on the professional work provided and are not dependent on whether a solicitation is released, a proposal is selected, or a contract is awarded.
13. Limitation of Liability
To the maximum extent permitted by applicable law, the total liability of Blue Sky Enterprise Solutions, LLC arising from or relating to a specific engagement will be limited to the total fees actually paid to Blue Sky for the engagement giving rise to the claim. Blue Sky will not be liable for lost profits, lost revenue, missed business opportunities, unsuccessful proposals, failure to receive a contract award, or other indirect, incidental, consequential, special, exemplary, or punitive damages associated with its services or deliverables. Clients are responsible for reviewing all deliverables, independently evaluating business decisions, verifying solicitation requirements, maintaining required registrations and certifications, and meeting applicable proposal submission deadlines. Blue Sky is not responsible for government agency decisions, changes to procurement requirements, inaccurate third-party information, client-provided inaccuracies, or delays resulting from circumstances outside its reasonable control. These limitations apply regardless of whether a claim arises from contract, negligence, misrepresentation, or another legal theory, except where applicable law prohibits limiting or excluding liability. Nothing in this section limits liability for fraud, intentional misconduct, or other conduct that cannot legally be excluded or restricted under applicable law.
14. Independent Contractor and Government Affiliation
Blue Sky Enterprise Solutions, LLC operates as an independent professional consulting company. Nothing in these terms or any engagement establishes an employment relationship, partnership, joint venture, or agency relationship between Blue Sky and its clients. Blue Sky Enterprise Solutions is not affiliated with, endorsed by, sponsored by, or authorized to act on behalf of any United States federal, state, or local government agency. Prior military service, government experience, professional relationships, or knowledge of government operations does not constitute privileged access, special influence, or authority over government procurement decisions. Blue Sky Enterprise Solutions does not have the authority to bind a client or government agency, submit contractual commitments on a client’s behalf, or represent that it can influence the outcome of a government procurement.
15. Governing Law and Dispute Resolution
These Professional Services Terms and any related engagement will be governed by the laws of the State of Texas and applicable federal law, without regard to conflicting laws or legal requirements of another jurisdiction. Unless otherwise required by law or established in a separate written agreement, any legal action arising from these terms or an engagement with Blue Sky Enterprise Solutions must be brought in a court of competent jurisdiction located in Bexar County, Texas. Before initiating formal legal action, the parties agree to make a good-faith effort to resolve disputes through direct communication and written notice identifying the nature of the concern. If any provision of these terms is determined to be invalid or unenforceable, the remaining provisions will continue in full force and effect to the extent permitted by applicable law. Nothing in this section limits rights or remedies that cannot legally be waived under applicable federal or Texas law.
16. Electronic Acceptance
These Professional Services Terms may be presented through the Blue Sky Enterprise Solutions website, an online checkout process, a written proposal, a statement of work, an invoice, a service agreement, or another form of electronic communication. A client accepts these terms by signing an agreement, approving a written proposal, completing an online purchase, authorizing a payment, or otherwise providing written approval for Blue Sky to perform professional services after the terms have been made available. Electronic acceptance carries the same effect as a written signature to the extent permitted by applicable law. Blue Sky may retain transaction records, electronic communications, payment confirmations, or other documentation demonstrating acceptance. Any individual accepting these terms on behalf of a company or organization represents that they have appropriate authority to enter into the engagement and approve the associated financial obligations. Acceptance of these terms does not guarantee immediate project availability. All engagements remain subject to Blue Sky’s confirmation of the project scope, scheduling capacity, applicable payment requirements, and written acceptance of the requested work.
17. Online Payment Plans
Blue Sky Enterprise Solutions, LLC may offer eligible services through an online installment payment plan. Before completing a purchase, clients will be informed of the total service price, initial payment amount, number of installments, payment dates, and whether subsequent payments will be charged automatically. For services offered under a standard two-payment arrangement, the client pays 50% of the total engagement price at checkout, and the remaining 50% is scheduled for payment two weeks after the initial transaction, unless a different schedule is clearly disclosed before purchase. By completing checkout, the client authorizes the disclosed installment payment schedule and any associated automatic charges. Installment authorization applies only to the agreed engagement and does not establish a recurring subscription or ongoing payment obligation beyond the disclosed purchase price. Custom engagements may be subject to alternative payment arrangements when documented in a separate written proposal, service agreement, or other mutually accepted engagement documentation. A scheduled installment payment does not establish or guarantee a project delivery date. Project timelines remain subject to scope confirmation, scheduling availability, receipt of required client information, and any separately agreed delivery schedule. If an installment payment is declined, disputed, or otherwise not received, Blue Sky may pause work, delay delivery, or suspend the engagement until the outstanding payment is resolved. Cancellation requests and refund determinations remain subject to the Cancellation and Suspension provisions of these Professional Services Terms.
18. Changes to These Terms
Blue Sky may update these terms periodically. The terms in effect when an engagement is accepted will apply to that engagement unless the parties agree otherwise in writing.
